SUMMARY:Call to discuss account transfers and incorporation in Texas
DESCRIPTION:As a result of Darryl's retirement\, there are a couple of changes that require your approval. HDP has been incorporated in Arizona since its inception. HDP has always maintained its official office there\, so incorporation there made sense. With Darryl leaving\, we no longer have an Arizona agent\, which is a requirement\, and it would make sense to move the incorporation to Texas. We currently have four staff members with Texas residence\, and Kim Andrews will take over the business office function in June when Darryl retires. We will need to engage an attorney and possibly modify our By-Laws slightly to reflect this change. We have gotten a quote from a Texas attorney of $3250 to complete this process. In addition\, a copy of the board meeting minutes is required to remove Darryl from the HDP bank accounts and credit card and assign them to Kim.  \n  \nWe will need to have a short meeting to allow discussion and vote.
